Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ecommify platform (the "Service"), operated by Versatile India ("Versatile India," "we," "us," or "our"). By creating an account, signing up for a store, or otherwise accessing the Service, you ("Merchant," "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

If you do not agree to these Terms, you must not access or use the Service. We may update these Terms from time to time; continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Ecommify is a multi-tenant ecommerce platform that allows merchants to create and operate online storefronts, including but not limited to store theming and customization, product and inventory management, order management, payment processing integrations, and content publishing tools. We may add, modify, or remove features of the Service at our discretion, and we will make reasonable efforts to notify Merchants of material changes that affect existing functionality.

To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity by your employees, contractors, or other authorized users.

You agree to notify us promptly of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

You agree not to use the Service to: violate any applicable law or regulation; infringe the intellectual property, privacy, or other rights of any third party; sell or distribute illegal, counterfeit, or prohibited goods; transmit malware, spam, or unsolicited communications; attempt to gain unauthorized access to the Service or related systems; or interfere with or disrupt the integrity or performance of the Service.

We reserve the right to investigate and take appropriate action against any Merchant who violates this section, including suspension or termination of the account, removal of offending content, and reporting to law enforcement where appropriate.

Ecommify does not use fixed, publicly listed pricing tiers. Fees for use of the Service are determined on a custom, quote-based basis as agreed between you and our sales team, taking into account factors such as store volume, number of stores, and support level. Specific fees, billing cycles, and payment terms applicable to your account are set out in the individual sales agreement or order form signed between you and Versatile India, and are not restated here.

You are responsible for any third-party fees charged by payment gateway providers or other integrated services used in connection with your store, which are separate from and in addition to any fees owed to Versatile India.

The Service, including its software, design, themes, trademarks, and underlying technology, is owned by Versatile India and its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service; we grant you a limited, non-exclusive, non-transferable license to use the Service solely for operating your store, subject to these Terms.

You retain ownership of the content, product data, and customer data you upload to or generate through your store ("Merchant Content"). You grant us a license to host, process, and display Merchant Content solely as necessary to provide the Service.

You may stop using the Service and close your account at any time, subject to any minimum term or notice period specified in your sales agreement. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe harms the Service, other Merchants, or third parties.

Upon termination, your right to use the Service ceases immediately. We may retain or delete Merchant Content in accordance with our data retention practices described in our Privacy Policy, subject to any applicable legal obligations.

To the maximum extent permitted by applicable law, Versatile India and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount of fees paid by you to us in the twelve (12) months preceding the event giving rise to the liability. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, except as required by applicable law.
